These Terms of Service ("Terms") govern your access to and use of the OgreyAgent platform and related services ("Services") provided by Ogrey Software ("Company," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

By creating an account or using the Services, you represent that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to be bound by them. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Ogrey Software provides OgreyAgent, an AI-powered platform that enables businesses to deploy automated agents for customer support, sales follow-up, and business operations. Our Services include:

To use the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Payment

The Services are offered on a subscription basis. By subscribing to a plan, you authorize us to charge the applicable fees to your payment method on a recurring monthly basis. All fees are stated in US dollars and are exclusive of any applicable taxes.

Subscription fees are billed in advance at the start of each billing cycle. We reserve the right to modify pricing with 30 days' prior notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

We offer a 30-day money-back guarantee on all plans. If you are not satisfied with the Services for any reason, you may request a full refund within 30 days of your initial purchase. Refund requests must be submitted to ogrey.operations@gmail.com. See our Refund Policy for full details.

The Services and all associated content, features, and functionality (including software, text, graphics, and logos) are owned by Ogrey Software and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from our platform without our prior written permission.

You retain ownership of all content and data you provide to train your AI agents. By providing such content, you grant us a limited, non-exclusive license to use it solely to provide and improve the Services for your account.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We handle your data in accordance with our Privacy Policy and applicable data protection laws including the General Data Protection Regulation (GDPR).

9. Confidentiality

We treat your business data and customer interaction data as confidential. We do not sell your data to third parties and do not use your customer conversations to train our AI models. Our data handling practices are detailed in our Privacy Policy.

10. Service Availability

We strive to provide reliable and continuous access to the Services. However, we do not guarantee uninterrupted availability. We may perform scheduled maintenance with advance notice or emergency maintenance when required. Scale plan subscribers are entitled to an SLA of 99.9% monthly uptime.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Ogrey Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to your use of the Services. Our total cumulative liability to you for any claims arising from these Terms shall not exceed the fees paid by you in the three months preceding the claim.

12. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranty of any kind. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free or that defects will be corrected.

You may cancel your subscription at any time by contacting us at ogrey.operations@gmail.com. Cancellations take effect at the end of the current billing period. We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion with or without notice.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of the Services after such notice constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with internationally recognized principles of contract law. Any disputes arising under these Terms shall be resolved through binding arbitration, except where prohibited by applicable local law.
